Court approves Shell-BG merger

THE HAGUE, the Netherlands and READING, UK The High Court of Justice of England and Wales has sanctioned the merger between Royal Dutch Shell plc and BG Group, the two companies announced.

The effective date of the scheme is dependent upon when the court order is expected to be delivered to the Registrar of Companies, which is expected to occur on Monday, Feb. 15.

Trading in BG Shares on the London Stock Exchange’s main market for listed securities and the listing of BG Shares on the premium listing segment of the Official List of the UK Listing Authority will each be suspended with effect from 6 p.m. (UK time) on Feb. 12.

The delisting of BG Shares from the premium listing segment of the Official List of the UK Listing Authority and the cancellation of the admission to trading of BG Shares on the London Stock Exchange’s main market for listed securities have been applied for and, subject to the Scheme becoming effective, are expected to take effect at 8 a.m. (UK time) on Feb. 15., the company announced.

Both companies’ shareholders respectively approved the merger in late January.
